Evolv Technology, a firm known for its AI-based security screening innovations aimed at enhancing safety, has announced a significant leadership change. As of 30 October 2024, the company’s Board of Directors has terminated Peter George, the President and CEO, without cause.
Michael Ellenbogen, currently the Chief Innovation Officer and a Board member, has been named Interim President and CEO. Ellenbogen, who co-founded Evolv in 2013, previously held the CEO position for about seven years before his current role in 2021. He is expected to serve as the interim leader until a successor is appointed.
Succession planning committee
This leadership transition follows strategic planning by the Board over several months. In May 2024, the Board assigned a succession planning committee consisting of independent directors to assess leadership performance and ensure a well-structured CEO transition.
The committee, collaborating with a reputed executive search firm, has been actively engaged in recruiting and interviewing potential CEO candidates. Following the recent leadership decision, the committee will continue these efforts and aims to swiftly appoint a new CEO.
Ensuring a smooth transition
The Board noted the necessity for new leadership to enhance the organisational culture
The Board expressed gratitude for Peter George’s years of service and achievements in aligning with the company’s mission, wishing him success in future pursuits. The Board noted the necessity for new leadership to enhance the organisational culture and prepare for upcoming growth phases.
They stated, “We continue to believe that the fundamentals of our business remain strong. But we are also convinced that the Company can do even better. The Board and leadership team are committed to ensuring a smooth transition, and we are grateful that we’ll be able to benefit from Mike’s experience and perspective at this time.”
Evaluating leadership and performance
Michael Ellenbogen remarked, “As a co-founder, I care deeply for this Company and its customers, employees, and shareholders. I look forward to working closely with the Board and our senior leadership team to advance our mission of creating a safer world while also driving the business forward.”
The Board addressed ongoing inquiries into recent sales and financial reporting practices, stating, “The Board has been evaluating leadership and performance for several months – long before we became aware of any potential issues relating to the Company’s sales practices and financial reporting. With respect to that ongoing investigation, the Board remains committed to completing a thorough investigation as expeditiously as possible. Our goal is to ensure the Company’s financial reports are always current and reliable and that our organisational culture reflects our values of integrity and honesty. That is the only way we can regain the trust and confidence of our investors.” The company anticipates providing updates on the internal investigation once it reaches completion.
